These Terms of Service ("Terms") govern your access to and use of the websites, membership programs, educational programs, continuing education courses, compliance resources, forms, templates, videos, support services, consulting services, and other products and services provided by TOP Education LLC dba TOOLS OF PRACTICE ("TOOLS OF PRACTICE," "TOP," "we," "us," or "our").

By accessing our website, creating an account, purchasing a product or service, enrolling in a course or event, or using any TOOLS OF PRACTICE service, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you should not use our Services.

We reserve the right to update or modify these Terms at any time without prior notice. Any changes will take effect immediately upon posting. Continued use of the website after such changes constitutes your acceptance of the revised Terms.

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use our Services.

If you purchase or use Services on behalf of a business, healthcare practice, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

References to "you" include both the individual accessing the Services and, where applicable, the business or organization on whose behalf the Services are being used.

TOOLS OF PRACTICE provides educational, informational, administrative, practice-management, billing, coding, documentation, regulatory-compliance, and professional-development resources primarily for chiropractic practices and other healthcare professionals.

Services may include, among other things:

• Educational courses and continuing education programs;
• Compliance manuals and compliance-support programs;
• Forms, templates, checklists, policies, procedures, and reference materials;
• Billing, coding, Medicare, Medicaid, HIPAA, OSHA, OIG, documentation, and practice-management education;
• Compliance reviews and audits;
• Federal and state exclusion-list searches;
• Email, telephone, or other professional support;
• Practice-management resources;
• Live, online, and on-demand training; and
• Other professional services offered from time to time.

Services and membership benefits may vary according to the membership level, program, course, or service purchased.

TOOLS OF PRACTICE provides education, information, tools, resources, and compliance assistance. Unless expressly agreed otherwise in a separate written agreement, our Services do not constitute legal advice or legal representation, accounting or tax advice, medical advice, or representation before a governmental agency, licensing board, insurance carrier, Medicare Administrative Contractor, Medicaid agency, or other third party.

TOOLS OF PRACTICE is not a governmental agency, insurance carrier, Medicare Administrative Contractor, licensing board, trade association, or law firm, and does not speak for or represent any such entity.

Information concerning laws, regulations, billing requirements, coding, Medicare, Medicaid, HIPAA, OSHA, payer policies, reimbursement, documentation, or other compliance matters is based upon information reasonably available at the time the material is created or provided.

Laws, regulations, guidance, payer policies, coding requirements, reimbursement policies, Local Coverage Determinations, National Coverage Determinations, state requirements, and professional standards may change at any time.

Although TOOLS OF PRACTICE makes reasonable efforts to provide accurate and current information, we cannot guarantee that every resource will reflect every subsequent regulatory, legislative, judicial, payer, or administrative change.

You remain responsible for determining the laws, regulations, payer requirements, professional standards, licensing requirements, and other obligations applicable to your practice and circumstances.

When legal interpretation or representation is required, you should consult qualified legal counsel.

TOOLS OF PRACTICE provides tools and assistance designed to help healthcare practices develop and maintain effective compliance programs. However, purchasing or using our Services does not guarantee that you, your practice, your employees, or your contractors are or will remain compliant with any particular law, regulation, payer requirement, accreditation standard, professional standard, or contractual obligation.

Compliance depends in significant part upon how a practice implements, maintains, documents, and follows its policies and procedures.

Similarly, TOOLS OF PRACTICE does not guarantee:

• Payment or reimbursement of any insurance claim;
• Successful appeal of any claim or audit;
• Any particular audit outcome;
• Acceptance of any coding, billing, or documentation position by a payer or governmental entity;
• Prevention of investigations, repayment demands, penalties, sanctions, or litigation;
• Increased practice revenue or profitability; or
• Any particular business, clinical, financial, or regulatory result.

Examples, case studies, testimonials, and reported results reflect individual experiences and do not guarantee similar results.

Continuing education requirements vary by profession, jurisdiction, licensing board, course format, subject matter, and renewal period.

Although TOOLS OF PRACTICE may provide information concerning course recognition, PACE recognition, state acceptance, or continuing education eligibility, it is ultimately the licensee's responsibility to determine whether a particular course satisfies the requirements of the applicable licensing authority.

Course recognition or approval may change. Users should verify applicable requirements with their licensing authority when necessary.

Completion certificates may be issued only when applicable course requirements have been satisfied.

A TOOLS OF PRACTICE office membership is intended for use by the purchasing practice and the doctors, employees, and authorized personnel working within that practice, subject to the benefits of the membership level purchased.

Individual user accounts or credentials may be provided to authorized members of the practice.

Account credentials may not be:

• Shared with individuals outside the subscribing practice;
• Sold, transferred, published, or publicly distributed;
• Used to provide TOOLS OF PRACTICE materials or Services to unaffiliated third parties; or
• Used to circumvent membership or licensing restrictions.

You are responsible for keeping account credentials secure and for activity occurring through accounts associated with your practice.

You must promptly notify TOOLS OF PRACTICE if you become aware of unauthorized account access.

Unless a different term is clearly disclosed at the time of purchase, paid TOOLS OF PRACTICE memberships are subject to an initial twelve (12)-month commitment.

Membership fees will be charged according to the billing frequency and amount disclosed at enrollment.

After completion of the initial twelve-month commitment, the membership will continue on a month-to-month basis and applicable membership fees will continue to be charged automatically until the membership is cancelled in accordance with these Terms.

By purchasing a recurring membership, you expressly authorize TOOLS OF PRACTICE and its payment processors to charge the payment method you provide for recurring membership charges in accordance with the billing terms presented to you at enrollment.

Before completing your purchase, the applicable price, billing frequency, initial commitment, automatic-renewal terms, and cancellation method will be disclosed.

During an applicable initial twelve-month commitment, you remain responsible for membership charges through the completion of that commitment unless TOOLS OF PRACTICE agrees otherwise or cancellation is required by applicable law.

After the initial commitment has been satisfied, you may cancel your membership before your next billing date using the cancellation method made available through your account or by contacting TOOLS OF PRACTICE through the cancellation method identified on our website or membership platform.

Cancellation stops future recurring membership charges after the effective cancellation date. Unless otherwise required by law or expressly stated in writing, cancellation does not result in a refund of amounts previously paid.

TOOLS OF PRACTICE will not intentionally impose unreasonable barriers to cancellation.

If applicable federal or state law provides you with cancellation rights greater than those stated in these Terms, the applicable law will control.

Prices and applicable fees will be disclosed before purchase.

You agree to provide current, complete, and accurate billing and payment information.

You authorize TOOLS OF PRACTICE and its third-party payment processors to process charges associated with purchases you authorize.

Applicable taxes may be added when required by law.

TOOLS OF PRACTICE may correct pricing errors and may refuse or cancel an order where a material pricing or technical error has occurred. If we cancel a transaction after payment because of our error, the affected payment will be refunded.
